Binge Terms of Service

These Terms of Service ("Terms") govern your access to and use of Binge, including its mobile application, websites, AI features, video and series hosting, subscriptions, and related services (collectively, the "Service"). Binge is a product of Nine Lives LLC ("Nine Lives," "we," "us," or "our") and is not a separate company.

By accessing or using the Service, creating an account, uploading content, or purchasing a subscription, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 13 years old to use the Service. If you are under the age of legal majority where you live, you may use the Service only with permission from your parent or legal guardian, who is responsible for your use. We may impose a higher minimum age in certain locations or for certain features.

You must provide accurate information and keep your account secure. You are responsible for activity under your account and must promptly notify us at team@ninelives.cc if you suspect unauthorized access. You may not sell, transfer, or share your account in a way that compromises the Service or another user.

2. The Service

Binge lets creators upload or create videos and series and lets viewers discover and watch content. Features, catalog availability, AI tools, supported devices, and geographic availability may change over time. We may add, modify, suspend, or discontinue any part of the Service at any time. We do not guarantee that particular content will remain available.

The Service may include content supplied by users and third parties. Nine Lives does not endorse User Content and is not responsible for its accuracy, quality, legality, or suitability. Not all content is reviewed before publication.

3. Subscriptions, Billing, and Cancellation

Some or all viewing features require a paid weekly or monthly subscription. Prices, billing periods, trial terms, included features, taxes, and renewal details will be displayed before purchase.

• Subscriptions automatically renew for the same billing period unless canceled before renewal.
• Your payment method will be charged by the app store or payment provider through which you subscribed.
• You can manage or cancel through that provider's account settings. Deleting the app or your Binge account does not automatically cancel a subscription.
• Except where required by law or stated in the purchase flow, payments are nonrefundable and we do not provide credits for partially used billing periods.
• We may change prices or subscription features prospectively with notice required by law or the applicable billing provider.
• Free trials or promotions may be limited, modified, or revoked if we reasonably believe they are being abused.

Your purchase may also be governed by the terms of the applicable app store or payment provider. If those terms require a different billing or cancellation rule, that rule controls for the applicable purchase.

4. Your Content and Your Rights

"User Content" means videos, series, audio, music, images, scripts, prompts, titles, descriptions, captions, comments, messages, and other material you upload, create, generate, publish, or submit through the Service.

You retain any ownership rights you have in your User Content. Nine Lives does not claim ownership of it. You are solely responsible for your User Content and represent and warrant that:

• you own it or have all licenses, permissions, releases, and other rights needed to upload it and grant the license below;
• it does not infringe copyrights, trademarks, privacy, publicity, contractual, or other rights;
• you have permission from people who appear or are heard in it, where permission is required;
• you have obtained all necessary music, footage, performer, location, union, and other clearances; and
• it complies with these Terms and applicable law.

Do not upload content merely because it is available online. If you do not have the necessary rights, do not upload it.

5. License You Grant to Nine Lives

When you submit User Content, you grant Nine Lives a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, transcode, modify for technical or formatting purposes, distribute, publicly perform, publicly display, communicate, make available, and otherwise use that User Content to operate, provide, secure, improve, and promote the Service and your content on the Service.

This license allows us, for example, to stream your video, generate thumbnails or captions, adapt it for different devices, recommend it to viewers, and use excerpts or previews to promote Binge and your series. The license lasts until your User Content is deleted from our systems, subject to reasonable backup periods, legal retention, uses already authorized, and content shared or saved by others where removal is not reasonably possible.

The license is non-exclusive, so you may use and license your content elsewhere. Unless we separately agree in writing, uploading content does not entitle you to payment, royalties, revenue sharing, or other compensation.

6. AI Features and Generated Content

The Service may provide AI-assisted generation, editing, recommendation, captioning, dubbing, moderation, or other tools. AI outputs may be inaccurate, unexpected, offensive, or similar to content generated for other users. You must review outputs before publishing or relying on them.

To the extent permitted by law, you are responsible for your prompts, inputs, outputs, and use of AI features. You must have the necessary rights to all inputs and must ensure your use of outputs does not violate law or another person's rights. Nine Lives does not promise that an output is unique, accurate, eligible for intellectual-property protection, or free from third-party claims.

7. Community and Content Rules

You may not use the Service to upload, create, promote, request, or distribute content or engage in conduct that:

• is illegal, fraudulent, deceptive, or facilitates unlawful activity;
• infringes intellectual-property, privacy, publicity, or other rights;
• sexually exploits or endangers minors, depicts child sexual abuse material, or sexualizes anyone under 18;
• contains non-consensual intimate imagery, sexual exploitation, credible threats, targeted harassment, doxxing, or encouragement of self-harm;
• promotes terrorism, violent extremism, hateful conduct, or serious real-world violence;
• impersonates another person or misleadingly presents synthetic media as authentic in a way likely to cause harm;
• distributes malware, spam, scams, unauthorized advertising, or attempts to collect credentials or personal information deceptively;
• interferes with the Service, bypasses access or safety controls, scrapes or reverse engineers non-public parts of the Service, or uses bots without written permission; or
• otherwise creates legal, safety, security, or operational risk for users, Nine Lives, or third parties.

We may publish additional community or content guidelines. Those guidelines form part of these Terms once posted or made available in the Service.

8. Moderation, Removal, and Enforcement

Nine Lives may, but is not obligated to, review, screen, filter, label, restrict, demonetize, disable access to, or remove any content or account at any time. We may act when we reasonably believe content or conduct violates these Terms, law, platform requirements, or third-party rights, or creates risk or harm—even if the issue is not specifically listed above.

We may suspend features, limit distribution, withhold access, preserve evidence, cooperate with authorities, or suspend or terminate accounts. Enforcement decisions may rely on automated systems, human review, user reports, or information from third parties. We are not required to provide advance notice where doing so could create risk, interfere with an investigation, or be prohibited by law.

You can report suspected violations through any reporting tools we provide or by emailing team@ninelives.cc. If the Service provides an appeal process, you agree to use it honestly and provide complete information.

9. Copyright Complaints

We respect intellectual-property rights. If you believe content on Binge infringes your copyright, send a notice to team@ninelives.cc containing:

• identification of the copyrighted work;
• identification and location of the allegedly infringing material;
• your name, address, telephone number, and email address;
• a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or law;
• a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the owner; and
• your physical or electronic signature.

We may remove allegedly infringing material and terminate repeat infringers where appropriate. If your content is removed, we may provide a process for a valid counter-notice as permitted by law. Knowingly submitting a materially false claim may create liability.

10. Nine Lives Intellectual Property

The Service—including its software, interfaces, branding, designs, text, graphics, and Nine Lives-created content—is owned by Nine Lives or its licensors and is protected by law. Subject to these Terms, Nine Lives gives you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.

Feedback you provide may be used by Nine Lives without restriction or compensation to you.

11. Third-Party Services and Content

The Service may contain links to, integrations with, or content from third parties. Nine Lives does not control and is not responsible for third-party services, terms, content, availability, security, or privacy practices. Your dealings with third parties are between you and them.

12. Termination

You may stop using the Service at any time. You may delete your account through available account settings or by contacting us. You remain responsible for canceling any subscription through the provider that bills you.

We may suspend or terminate your access, remove content, or stop providing the Service at any time if we reasonably believe you violated these Terms, pose a risk, expose Nine Lives or others to liability, or if continued access is no longer commercially or legally practical.

Provisions that by their nature should survive termination will survive, including provisions concerning licenses already granted where necessary, intellectual property, disclaimers, limitations of liability, indemnity, disputes, and amounts owed.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINE LIVES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.

NINE LIVES DOES NOT GUARANTEE THAT THE SERVICE OR ANY CONTENT WILL BE ACCURATE, COMPLETE, SAFE, AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT CONTENT WILL REMAIN AVAILABLE; THAT AI OUTPUTS WILL BE UNIQUE OR SUITABLE; OR THAT THE SERVICE WILL MEET YOUR EXPECTATIONS. YOU ACCESS USER CONTENT AT YOUR OWN RISK.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINE LIVES AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, CONTENT, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NINE LIVES AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO NINE LIVES FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot legally be limited.

15. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Nine Lives and its affiliates, owners, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use or misuse of the Service, your violation of these Terms or law, or your violation of another person's rights.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Before filing a formal claim, you agree to contact team@ninelives.cc and try in good faith to resolve the dispute informally for 30 days.

To the extent permitted by law, any dispute not resolved informally will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction and venue. You and Nine Lives each waive any right to a jury trial to the extent permitted by law. Nothing in this section prevents either party from bringing an eligible claim in small-claims court or seeking urgent injunctive relief.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. If a change is material, we may provide additional notice as required by law. Unless otherwise stated, changes are effective when posted. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

18. General

These Terms and the Privacy Policy are the entire agreement between you and Nine Lives concerning the Service unless additional terms apply to a specific feature. If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Nine Lives may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
