Kashudo Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kashudo, including our mobile application, websites, pack-opening features, portfolio tools, marketplace browsing, account balance features, shipping flows, and related services (collectively, the "Services"). Kashudo is offered by Nine Lives LLC, a Texas limited liability company ("Kashudo," "Nine Lives," "we," "us," or "our").

By creating an account, accessing the Services, buying or opening a pack, requesting shipment, selling a card back to Kashudo, adding cards to your portfolio, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Important Notice

These Terms include limitations of liability, disclaimers, a binding arbitration agreement, and a class-action waiver. Please read them carefully.

The Services are collectible-card entertainment, inventory, portfolio, and marketplace tools. They are not investment, financial, tax, legal, or professional advice. Card values can change quickly, and collectible cards may lose value.

2. Eligibility

You must be at least 16 years old to create an account and use non-pack features of the Services.

You must be at least 18 years old to buy, open, or otherwise participate in Kashudo pack features. Pack features are available only to eligible users located in the United States who satisfy Kashudo's verification, phone, location, identity, and shipping requirements. We may restrict, suspend, or deny pack access if we cannot verify eligibility or if we believe use of the pack features may violate applicable law, platform rules, payment rules, fraud controls, or these Terms.

You are responsible for complying with all laws that apply to you. The Services may be available in some jurisdictions but not others, and certain features may be limited by location, age, verification status, payment method, shipping address, or other compliance factors.

3. Your Account

You are responsible for your account, credentials, devices, and all activity under your account. You must provide accurate information and keep it current. We may require a verified phone number, location information, identity verification, payout information, tax-related information, or shipping details before allowing certain transactions.

You may not create accounts or use the Services for fraud, abuse, money laundering, sanctions evasion, market manipulation, automated scraping, unauthorized resale, chargeback abuse, circumvention of eligibility rules, or any illegal purpose.

We may suspend, limit, or terminate your account or access to any feature if we believe you violated these Terms, created risk for Kashudo or other users, provided inaccurate information, failed verification, abused promotions or refunds, or used the Services in a way that is unsafe, unlawful, or harmful.

4. Kashudo Balances, Deposits, Credits, and Withdrawals

Kashudo may support account balances used to buy packs, pay shipping and fees, receive sell-back proceeds, receive promotional credits, or receive refunds or credits.

Deposits are processed through third-party payment processors such as Stripe. We may set minimum and maximum deposit amounts, decline deposits, delay credits pending payment confirmation, or reverse credits for failed, disputed, refunded, or unauthorized payments.

Kashudo may maintain different categories of balance, including deposited funds, sell-back proceeds, promotional credits, and pending withdrawal amounts. Certain credits may be usable only within Kashudo and may not be withdrawable unless we expressly say otherwise. Based on current Kashudo functionality, card sell-back proceeds are generally treated as withdrawable, while promotional credits and pack-price credits may be non-withdrawable unless required by law or expressly approved by Kashudo.

Withdrawals, where available, may require identity verification, Stripe Connect setup, a U.S. payout account, additional information, fraud review, and compliance checks. We may impose withdrawal limits, delays, holds, reversals, or denials where required by law, payment processor rules, risk controls, or these Terms.

Balances are not bank accounts, stored-value accounts, securities accounts, or insured deposits. No interest accrues on balances.

5. Packs

Kashudo packs are randomized collectible-card experiences. When you open a pack, Kashudo selects one or more cards from an eligible card pool using the pack logic, pricing inputs, availability checks, and probability methods used by Kashudo at that time.

Pack prices, card pools, odds, expected values, available tiers, eligibility rules, and features may change at any time. Any odds, card counts, featured cards, price ranges, highlights, or previews shown in the Services are estimates or snapshots and are not guarantees that a specific card, card type, condition, grade, price, or outcome will be available or received.

Before you open a pack, Kashudo will make odds information available in the app for that pack, such as odds by card-price category or similar outcome category. You should review those odds before purchasing or opening a pack. Do not open a pack if odds information is unavailable, unclear, or inconsistent with what you expect. Odds are based on the eligible card pool and pricing data available to Kashudo at the time they are generated and may differ from the final result of any individual pack opening.

Kashudo currently uses CardTrader listings, including CardTrader Zero eligible listings, as a source for pack pulls and fulfillment. Card handling and shipment are processed using CardTrader and/or CardTrader Zero where applicable. CardTrader's own terms, policies, condition guide, shipping rules, warranties, marketplace rules, and operational decisions may apply to CardTrader-sourced cards. CardTrader is a third-party service. Kashudo does not control CardTrader listings, seller behavior, CardTrader's inspection process, CardTrader's fulfillment timelines, carrier performance, or CardTrader's marketplace rules.

6. Pack Decisions: Ship or Sell Back

After a pack pull is revealed, Kashudo may require you to choose whether to ship the card to you or sell the card back to Kashudo. Kashudo does not offer an indefinite card-holding period for pack pulls.

Unless otherwise stated in the app, the current decision window is 10 minutes from the pull. If you do not choose shipment or sell-back within the decision window, Kashudo may automatically sell the card back on your behalf and credit the applicable sell-back amount to your Kashudo balance.

If you choose sell-back, Kashudo will credit the sell-back amount shown in the app. Under current functionality, sell-back is calculated as 80% of the CardTrader pull/listing price for the card, rounded to the nearest cent. Kashudo may change sell-back rates or methods prospectively.

Sell-back values are not appraisals, fair-market-value guarantees, investment valuations, or offers available outside the Kashudo flow. Once a sell-back is completed, you give up any right, title, claim, or expectation to receive that card.

7. Shipping Pack Pulls

If you choose shipment, Kashudo will attempt to purchase and route the pulled card through CardTrader and/or CardTrader Zero to the shipping address you provide. You are responsible for providing complete and accurate shipping information.

Kashudo shipments for pack pulls are currently U.S.-only. We may require a U.S. shipping address, U.S. phone number, location verification, identity verification, and other compliance checks before shipment. We may reject P.O. boxes, mail drops, freight forwarders, commercial mail receiving agencies, or addresses requiring manual review.

For shipped pack pulls, the card cost is covered through the pack flow, but you are responsible for applicable shipping costs, CardTrader fees, processing fees, carrier charges, taxes, duties, and similar charges shown or charged in connection with shipment.

Title and risk of loss for a shipped card transfer only when Kashudo, CardTrader, and any applicable payment, verification, and shipping requirements are satisfied and the card is accepted into the applicable fulfillment or carrier process. To the maximum extent permitted by law, after a card is delivered to the carrier or fulfillment provider, risk of delay, loss, damage, or misdelivery may pass according to the carrier's and fulfillment provider's rules.

Delivery estimates are estimates only. Kashudo is not responsible for delays caused by CardTrader, sellers, carriers, customs, weather, incorrect addresses, failed delivery attempts, user inaction, verification delays, payment delays, or events outside our control.

8. Listing Unavailability, Substitutions, and Refunds

Card listings can become unavailable, inaccurate, delayed, or otherwise impossible to fulfill. If a CardTrader-sourced listing becomes unavailable before Kashudo can complete shipment, Kashudo may mark the listing unavailable and allow you to choose between the available remedies shown in the app.

Under current functionality, when a pack-pull listing is unavailable during the shipping flow, Kashudo may offer either:

Unless required by law, any pack-price refund may be provided as Kashudo balance credit. Kashudo's maximum obligation for an unavailable pack-pull card is limited to the pack purchase price, the displayed sell-back amount, or another remedy Kashudo chooses in its sole discretion.

Kashudo may rely on CardTrader Zero processes, including CardTrader's quality checks, replacement practices, and refund practices. However, Kashudo does not guarantee that CardTrader will replace an item, ship an item by a particular date, assign a particular condition, or resolve an issue in a particular manner.

9. Card Values, Prices, Conditions, and Grades

Prices shown in Kashudo may come from CardTrader, CardTrader listings, marketplace data, third-party APIs, user input, historical data, or internal calculations. These prices are estimates and may be stale, inaccurate, incomplete, or unavailable. A displayed price is not a guaranteed resale value, purchase offer, appraisal, or investment valuation unless Kashudo expressly presents it as a binding transaction price in that specific flow.

Raw cards are sold, shipped, and tracked as raw cards. Raw cards do not have a guaranteed professional grade and may have wear, printing issues, centering issues, surface issues, edge or corner issues, or other condition differences. Images may be representative, marketplace-supplied, or third-party supplied and may not capture all defects.

Graded cards, where supported, are subject to the grading company's label, holder, authentication, population data, and policies. Kashudo does not guarantee that any grading company will maintain, confirm, or change a grade, and Kashudo is not responsible for changes in grading standards, holder condition, label errors, or third-party grading disputes.

For CardTrader-sourced cards, condition information may be governed by CardTrader listing data and CardTrader's condition standards. You should review CardTrader's condition guide and terms.

10. Portfolio and Collection Tools

Kashudo may allow you to scan, upload, manually add, organize, track, sort, or view collectible cards in a portfolio or binder. You may also be able to browse marketplace listings, add listing information to your portfolio, track collection progress, or view estimated values.

Portfolio tools are for convenience and entertainment. Kashudo does not verify that you own uploaded cards, that uploaded cards are authentic, that scans are accurate, that manually entered information is correct, or that displayed values are reliable. You are responsible for confirming all card details, ownership, authenticity, condition, grading, value, and tax consequences.

Portfolio values and collection analytics are informational only. They are not financial advice, investment advice, tax advice, appraisals, insurance valuations, or guarantees of liquidity or resale price.

Uploaded or manually added cards are not automatically eligible for shipment, sell-back, withdrawal, marketplace sale, collection rewards, or pack-related benefits unless Kashudo expressly enables that functionality.

11. Marketplace Browsing and Third-Party Purchases

Kashudo may show listings, prices, images, links, or purchase options from third-party marketplaces, including CardTrader and other sources. Third-party listings are controlled by the relevant marketplace or seller, not Kashudo.

If Kashudo supports direct purchasing through a third-party marketplace integration, your purchase may be subject to that marketplace's terms, pricing, shipping rules, taxes, fees, refund rules, and dispute process. Kashudo may charge your Kashudo balance for the item price, shipping, fees, and related charges shown in the purchase flow.

Kashudo is not responsible for third-party listing accuracy, seller performance, marketplace downtime, unavailable inventory, counterfeit or misdescribed items, shipping failures, carrier delays, or changes in third-party prices or policies.

12. Rewards, Collections, Promotions, and Features

Kashudo may offer collection progress, rewards, promotions, credits, bonuses, or limited-time features. We may modify, pause, revoke, or discontinue any promotion, reward, odds table, collection, pack, credit, or feature at any time.

Rewards and promotional credits may be subject to additional terms, expiration, eligibility rules, abuse controls, and non-withdrawable status. We may revoke rewards, credits, or benefits obtained through fraud, error, abuse, duplicate accounts, chargebacks, unauthorized access, or violation of these Terms.

Apple is not a sponsor of, responsible for, or involved in Kashudo packs, rewards, promotions, credits, sell-backs, withdrawals, shipments, disputes, or fulfillment, unless Apple expressly states otherwise.

13. Taxes

You are responsible for all taxes, duties, reporting obligations, and similar charges arising from your use of the Services, including purchases, shipments, sales, sell-backs, withdrawals, rewards, and gains or losses on collectibles. Kashudo may collect taxes where required or withhold, report, or request tax information where required by law.

14. User Content and License

You may submit, upload, or provide content such as card photos, portfolio information, account details, usernames, shipping information, support messages, and other materials ("User Content"). You represent that you have all rights needed to provide your User Content and that it does not violate law or the rights of others.

You grant Kashudo a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, modify, and use User Content as needed to operate, improve, secure, market, and support the Services, comply with law, and enforce these Terms.

We may remove or restrict User Content that we believe is unlawful, infringing, inaccurate, abusive, harmful, fraudulent, or otherwise inappropriate.

The Services, including Kashudo's software, interfaces, branding, graphics, logos, designs, text, and other content, are owned by Kashudo or its licensors and are protected by intellectual-property laws. These Terms do not transfer ownership of Kashudo intellectual property to you.

Kashudo is not affiliated with, endorsed by, or sponsored by The Pokemon Company, Nintendo, Game Freak, Creatures, CardTrader, Stripe, Supabase, OpenAI, or other third parties unless expressly stated. Third-party names, trademarks, card images, and data belong to their respective owners and may be used for identification, marketplace, portfolio, or interoperability purposes.

17. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Changes are effective when posted, when made available in the app, or when we otherwise notify you, unless a later date is stated. Your continued use of the Services after changes become effective means you accept the updated Terms.

We may modify, suspend, or discontinue any part of the Services at any time, including packs, sell-back rates, shipping options, payment methods, portfolio tools, marketplace integrations, rewards, and withdrawals.

18. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Kashudo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and quiet enjoyment.

Kashudo does not guarantee that:

19. Limitation of Liability

To the maximum extent permitted by law, Kashudo and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages; loss of data, value, goodwill, opportunity, or business; market changes; card-value changes; third-party failures; shipping delays; carrier issues; or unauthorized access, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Kashudo's total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

For claims involving an unavailable pack-pull card, Kashudo's maximum liability is limited to the applicable pack purchase price, the displayed sell-back amount, or another remedy Kashudo chooses in its sole discretion.

20. Indemnity

You agree to indemnify and hold harmless Kashudo and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, your User Content, your violation of these Terms, your violation of law, your transactions, your taxes, your shipments, your disputes with third parties, or your infringement or misuse of any rights.

21. Disputes, Arbitration, Class-Action Waiver, and Jury Waiver

Please contact support@ninelives.cc before filing a claim so we can try to resolve the issue informally.

Except for claims that may be brought in small-claims court and claims seeking injunctive or equitable relief for intellectual-property misuse or unauthorized access, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act.

The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, unless the parties agree otherwise. The arbitration will take place in Texas, remotely, or by written submissions, as determined by the arbitrator and applicable rules. The arbitrator may award individual relief only and may not consolidate claims or preside over any class, collective, representative, mass, or private-attorney-general proceeding.

You and Kashudo each waive the right to a jury trial. You and Kashudo each agree that disputes will be brought only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, representative, mass, or private-attorney-general action.

If the class-action waiver is found unenforceable as to a particular claim, that claim must proceed in a court of competent jurisdiction and not in arbitration, unless otherwise required by law.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement above.

For any dispute not subject to arbitration, you and Kashudo consent to exclusive jurisdiction and venue in the state or federal courts located in Texas, and you waive objections to personal jurisdiction, venue, and inconvenient forum.

23. Termination

You may stop using the Services at any time. We may suspend or terminate your account or access to any feature at any time if we believe you violated these Terms, created risk, failed verification, or used the Services unlawfully or abusively.

After termination, we may retain information as needed to comply with law, resolve disputes, enforce these Terms, prevent fraud, process transactions, complete shipments, support audits, and maintain business records.

Sections that by their nature should survive termination will survive, including sections on balances, withdrawals, pack decisions already made, third-party services, taxes, intellectual property, disclaimers, limitation of liability, indemnity, disputes, governing law, and termination.
