Zapp Terms of Service

These Terms of Service ("Terms") govern your use of Zapp, its application, AI game generation tools, game library, subscriptions, credits, and related services (the "Service"). Zapp is a product of Nine Lives LLC ("Nine Lives," "we," "us," or "our").

By using the Service or making a purchase, you agree to these Terms and acknowledge our Privacy Policy at https://ninelives.cc/zapp-privacy-policy. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 13 years old, or the higher minimum age required where you live. If you are under the age of legal majority, you must have a parent or legal guardian's permission to use the Service and make purchases. Provide accurate account information, protect your credentials, and notify team@ninelives.cc if you suspect unauthorized access. You are responsible for activity under your account.

2. How Zapp Works

Zapp lets you submit prompts to our backend and AI processing providers to generate games using credits. You can also play available games generated by other users for free. Features, generation tools, and game availability may change. Generation may take time, fail, or produce unexpected or unplayable results; we do not guarantee a particular result or that any game will remain available.

3. Subscriptions, Credits, and Payments

We may offer monthly and yearly subscriptions that include credits, as well as separate credit top-ups. Available plans, prices, billing periods, credit allowances, generation costs, and any applicable credit rollover or expiration rules will be disclosed before purchase or use. These Terms do not set subscription prices or credit quantities.

• Subscriptions automatically renew for the applicable billing period unless canceled before renewal through the app store or payment provider that bills you.
• Deleting the app or your account does not automatically cancel a subscription. After cancellation, access generally continues until the end of the paid period, subject to the provider's rules.
• Credits are used for generation requests at the rate shown in the Service. Any applicable charges for failed or canceled requests and credit adjustments will be explained in the Service; contact us if a request fails or credits appear incorrect.
• Credits are a limited right to use Zapp features, have no cash value, and cannot be transferred, resold, or redeemed for money, except where required by law. Credit top-ups are separate purchases and do not themselves renew.
• Except where required by law or the applicable purchase terms, purchases are nonrefundable and unused credits or partially used subscription periods are not redeemable for a refund.
• Changes to prices or plan benefits apply prospectively with any notice or consent required by law or the billing provider. Purchasing credits does not guarantee that a game will meet your expectations.

Purchases are also subject to the applicable app store or payment provider's terms. Mandatory consumer rights and provider refund rules take precedence over conflicting provisions here.

4. Your Content and AI Outputs

"User Content" includes prompts, uploaded material, generated games, code, artwork, audio, titles, and other material you submit, generate, or share through Zapp. You retain any rights you have in your User Content. We do not guarantee that AI outputs are unique, copyrightable, accurate, safe, or free from third-party claims.

You are responsible for your inputs, generated outputs, and how you use or publish them. You must have all rights and permissions needed for your inputs and must review outputs before sharing them. You represent that your User Content and its use do not infringe copyright, trademark, privacy, publicity, or other rights. AI generation does not give you permission to use someone else's characters, brands, music, images, code, or other protected material.

You grant Nine Lives a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, technically adapt, display, distribute, and make your User Content playable as needed to operate, secure, and improve the Service. For games you make available to others, this includes allowing other users to access and play them through Zapp without paying you. Publishing a game does not entitle you to royalties or revenue sharing unless we separately agree in writing. This license ends when the content is removed from our systems, subject to reasonable backup periods, legal retention, and copies already shared with others.

5. Prohibited Content and Conduct

You may not request, generate, upload, or share content that:

• infringes another person's intellectual-property, privacy, publicity, or other rights;
• is unlawful, sexually exploits minors, includes non-consensual intimate imagery, or facilitates exploitation or abuse;
• contains hateful abuse, targeted harassment, credible threats, doxxing, or encouragement of serious real-world harm; or
• contains malware, scams, deceptive impersonation, or attempts to obtain personal information or credentials without authorization.

Do not bypass safety filters or payment controls, manipulate credit balances, disrupt the Service, or use generated games to attack devices or systems.

6. User Content, Reports, and Removal

User-generated games may contain offensive, inaccurate, inappropriate, or infringing material. Nine Lives does not endorse User Content, and content may not be reviewed before it becomes available. To the maximum extent permitted by law, responsibility for User Content rests with the user who submits, generates, or shares it, and Nine Lives disclaims liability for that content. This does not exclude duties or liability that cannot legally be excluded.

We may review, restrict, remove, or disable content and suspend or terminate accounts for violations, safety concerns, legal claims, or abuse. Report offensive content, abusive users, or suspected rights violations to team@ninelives.cc, identifying the game or account and explaining the issue. We may remove content and terminate repeat infringers where appropriate.

For copyright complaints, include identification of the copyrighted work and the allegedly infringing content and its location; your name and contact details; a good-faith statement that the use is not authorized by the owner, its agent, or law; a statement under penalty of perjury that your notice is accurate and you are authorized to act for the owner; and your physical or electronic signature. We may request additional information and process counter-notices as applicable law permits.

7. Our Rights and Third-Party Services

Zapp's software, branding, interfaces, and other materials supplied by Nine Lives belong to us or our licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service as permitted by these Terms. Third-party services, including app stores and linked services, are governed by their own terms and privacy policies.

8. Disclaimers and Limitation of Liability

THE SERVICE AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINE LIVES DISCLAIMS WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINE LIVES AND ITS AFFILIATES, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, CONTENT, OR GOODWILL ARISING FROM THE SERVICE, INCLUDING USER CONTENT OR AI OUTPUTS. THEIR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR ZAPP DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits apply only to the extent permitted by law and do not limit mandatory consumer rights or liability that cannot legally be limited.

9. Your Responsibility for Claims

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Nine Lives and its affiliates, employees, contractors, and service providers from third-party claims, losses, damages, and reasonable legal costs arising from your User Content, your infringement of another person's rights, your misuse of the Service, or your violation of these Terms or law.

10. Ending Use and Changes

You may stop using Zapp at any time and request account deletion through available settings or team@ninelives.cc. Cancel subscriptions separately with the billing provider. We may suspend or terminate access for violations, risk, or legal or operational reasons. Provisions concerning accrued payment obligations, necessary licenses, intellectual property, disclaimers, liability, indemnity, and disputes survive termination as applicable.

We may update these Terms by posting a revised version and updating the date above. We will provide any notice or obtain any consent required by law for material changes. Continued use after changes take effect constitutes acceptance where permitted by law.

11. Governing Law and Contact

These Terms are governed by Texas law, without regard to conflict-of-law rules, subject to mandatory protections where you live. Contact us first to try to resolve disputes informally. To the extent permitted by law, unresolved disputes will be brought in state or federal courts in Texas; eligible small-claims actions remain available. If any provision is unenforceable, the remaining provisions remain in effect.
